Abstract

This study reviews corporate governance that can reduce the agency problems arising from conflicts of interests between professional management and owners. Furthermore, the study presents an example of Kookmin Bank that recently improved corporate governance in consistent with international best practices. Since non-executive directors are agents of shareholders, they also have agency problems. Hence, this study examines agency problems of non-executive directors and corporate governance to mitigate their agency problems. Finally, this study summarizes strengths and weaknesses of corporate governance of Kookmin Bank.
